Key Responsibilities
Reporting to the Director/CEO, the Corporation Secretary will be responsible for the following:-
Provide guidance to the Board on their duties and responsibilities and on matters of governance in risk assessment and management, quality assurance processes and strategic planning and review.
Assist the Board in carrying out the following:
Board induction and training.
Updating the Board and Committee charters.
Preparation of Board work plans
Board evaluation.
Governance compliance and audit.
Implementation of the code of conduct and ethics.
Review of management’s implementation of strategies, policies and plans.
Ensure the timely preparation and circulation of Committee and Board papers.
Ensure timely circulation of Committee and Board minutes.
Be the custodian of the seal of the Organization and account to the Board for its use.
Maintain and update the register of conflicts of interest.
Facilitate effective communication between the organization and the stakeholders.
Ensure that quarterly and annual returns are promptly filed with the relevant authorities.
Application of technology in the work environment.
Assisting the Chairperson in organizing Board activities.
Providing leadership and management of the Board Secretarial staff.
Providing secretarial services to the Board.
Perform any other responsibilities as determined and deemed necessary by the Chief Executive Officer.
Requirements
For appointment to this position, a candidate must:
Hold a Masters degree in business administration from a university recognized in Kenya.
Have a Certificate in Certified Public Secretary (CPS).
Have served in a position of management/teaching for a period of at least three years.
Have interpersonal and communication skills.
Have passion for continuous professional development.
Have knowledge and experience in project review, monitoring and evaluation, and
Have knowledge of higher learning institution’s training and programs.
In addition, candidates will be required to submit copies of membership association, certificate of clearance from Kenya Revenue Authority (KRA), Ethics and Anti-corruption Commission (EACC), Higher Education Loans Board (HELB), and Credit Reference Bureau (CRB); and provide Certificate of Good Conduct from the Criminal Investigations Department (CID).
Tenure
The successful candidate will be engaged on Permanent and Pensionable terms of service on completion of six (6) months probationary period.
Performance Management
The successful applicant shall sign a performance contract with the Chief Executive Officer.
